Modern slavery statement

MODERN SLAVERY ACT 2015

This statement is made on behalf of Cosworth Group Holdings Limited and its UK subsidiary entities (a list of which is recorded in the Group’s annual accounts available at Companies House).  It sets out the steps we have taken to mitigate the risk of modern slavery and human trafficking occurring within our operations and supply chains.

This statement is made in respect of the financial year ended 31 December 2025.

References to ‘Cosworth’, ‘CGHL’, ‘we’ or ‘our’ in this statement are references to Cosworth Group Holdings Limited and the UK subsidiary entities covered by this statement.

COSWORTH’S COMMITMENT

Across all areas of our global operations, Cosworth is committed to acting as an ethical and responsible employer and to upholding its values of equality, dignity, respect and transparency.

Cosworth seeks to conduct all aspects of its daily business according to these values, and to ensure that the basic rights of all individuals within its company and supply chain are preserved.

Cosworth has a zero-tolerance policy towards modern slavery and human trafficking and expects its suppliers to comply with applicable legislation and uphold equivalent ethical standards.

Cosworth recognises and appreciates the vital role that businesses like ours have to play in preventing modern slavery from taking place, and the importance of promoting ethical business practices and policies.

This statement is made pursuant to Section 54, Part 6 of the Modern Slavery Act 2015.

COSWORTH’S BUSINESS

Cosworth Group Holdings Limited (CGHL) is a limited company, registered in England and Wales (registered company number 06442393), whose registered office is at The Octagon, St. James Mill Road, Northampton, Northamptonshire, NN5 5RA.

We provide leading propulsion and performance electronics solutions to the automotive, engineering, and technology sectors, operating internationally with facilities in Northampton (UK), Cottenham (UK), and Indianapolis (US).

More information about CGHL’s business and activities can be found in the Group’s most recent annual report and financial statements filed at Companies House.

COSWORTH’S SUPPLY CHAIN

Our supply chain primarily comprises businesses supplying materials and components used in the manufacture of our products, together with electronics manufacturing services. It also includes providers of temporary labour, marketing and communications, food and beverages, and other professional services.

Cosworth endeavours to build long-term relationships with favoured suppliers in order to encourage good practice and ethical behaviour. We maintain direct relationships with our suppliers and encourage open communication between Cosworth staff and supplier contacts.

We pride ourselves on developing close-knit relationships with our supply chain in order to provide the best products and solutions to our world-renowned clients, and to maintain our position as an ethical and responsible business.

Wherever practicable, we seek to limit sourcing from higher-risk locations. Where sourcing from such locations is necessary, we apply additional due diligence and, where appropriate, audit requirements.

DUE DILIGENCE

Cosworth is committed to conducting business in an ethical and responsible manner. As part of our supplier onboarding and procurement processes, we undertake due diligence designed to identify and address risks relating to modern slavery and human trafficking within our operations and supply chain.

New suppliers are required to confirm compliance with applicable anti-slavery and human trafficking legislation and, where appropriate, provide evidence of their own policies, controls, and compliance arrangements. Modern slavery requirements are also incorporated into supplier contracts and terms of business. Existing suppliers are subject to ongoing review, and any concerns identified are escalated through the appropriate management channels for investigation and remediation.

RISK ASSESSMENT

Cosworth recognises that the risk of modern slavery can vary across industries, geographical locations, and supply chains. We adopt a risk-based approach to supplier management and seek, wherever practicable, to source goods and services from reputable suppliers that operate in accordance with our ethical standards.

Reviews are undertaken for new suppliers and may include consideration of factors such as geographical location, industry sector, labour practices and the nature of goods or services provided. Where an elevated risk is identified, additional checks may be conducted and appropriate mitigation measures implemented before a supplier is approved.

EFFECTIVENESS MONITORING

Cosworth continually reviews the effectiveness of its approach to preventing modern slavery and human trafficking. The business monitors compliance through employee awareness training, contractual controls, and whistleblowing procedures.

To assess the effectiveness of these measures, Cosworth reviews a range of indicators, including:

  • Employee completion of relevant compliance and awareness training.
  • Reported incidents or concerns relating to modern slavery.
  • Periodic reviews of relevant policies, procedures, and supplier controls.

The Company will continue to develop and strengthen these measures as part of its commitment to maintaining effective governance and responsible business practices.

INTERNAL PROCEDURES

We adopt a proactive policy of keeping employees informed of all matters affecting them as employees, and the factors that affect the performance of the Group.

This is achieved through consultation with employee representatives and group briefings.

We have taken measures to instil a business culture that encourages the reporting of concerns and safe treatment of those who come forward with concerns. We produce an internal employee handbook where such business values and cultures are documented. These measures include consultations with employee representatives and group briefings as mentioned above together with our grievance procedure and Whistleblowing Policy.

It is our intention to raise the awareness of modern slavery and human trafficking within the organisation and state our position on this matter to companies associated to our business. To ensure a detailed level of understanding of the risks of modern slavery in our supply chains and our business, modern slavery awareness forms part of employee induction and ongoing compliance training programmes.

Cosworth will continue to review its internal procedures to ensure that the company remains compliant with the Modern Slavery Act 2015, and upholds our status as a trusted, transparent, and responsible employer.

This statement was reviewed and approved by the Board of Directors of Cosworth Group Holdings Limited on 11th August 2026 and is signed on its behalf by:

Gerald R. Forsythe
Director
